Welcome to the terms and conditions (“Terms”) for Noon VIP loyalty program (“Loyalty Program” or “Noon VIP”). These Terms are between you and Noon E Commerce Owned by Noon AD Holdings LLC and/or its affiliates (“We” or “Us”) and govern our respective rights and obligations.

1. General Provisions
   1. Your use of Noon VIP Loyalty Program is governed by these Terms which establish the rules for your participation in the Loyalty Program. The Terms contain clauses with active hyperlinks to Internet pages with more detailed information, which are an integral part of the Terms. By participating in this Loyalty Program, you agree to be bound by:
      • noon’s Terms of Use
      • noon’s Terms of Sale
      • noon’s Privacy Policy
      • noon pay Terms of Use
   2. The ability to use benefits under the Loyalty Program is available to an individual verified in the manner prescribed by noon’s Terms of Use. Noon VIP is for individual personal use and is not available for customers who purchase products for the purpose of resale or use Noon VIP for commercial purposes.
2. Membership Terms
   1. My Account Your account details, which will be displayed on the My Account tab (“My Account” or “Account”) on noon.com or through the noon mobile application (“Application”), will provide you with a record of your Benefits which are maintained and administered by us.
   2. Eligibility You are eligible to participate (“Eligibility Criteria”) in the Loyalty Program by:
      1. Activation of membership through third parties. You have the right to participate in the Loyalty Program through approved third party offerings. Separate terms and conditions may apply.
   3. Cancellation, Termination, or Suspension. Your membership may be cancelled, terminated, or suspended by:
      1. Buying In Cancellation. If you purchased your Noon VIP membership directly through us, you will have the right to cancel your Noon VIP membership at any time. You must cancel your membership at any time by contacting our customer support through the Noon VIP Account Page. Please note membership fees are non-refundable and you are not entitled to any refunds associated with participation in the Loyalty Program.
      2. Termination by Us. Your membership in the Loyalty Program can be terminated if you are involved in any act of fraud or bulk/multiple purchasing (as defined in the Terms of Sale) and without notice (“Automatic Termination”). The membership can also be revoked if you are found to be involved in any sort of misuse of the Loyalty Program membership. In the event of Automatic Termination, all existing accrued benefits associated with the Loyalty Program shall be forfeited.
      3. Third Party Membership Cancellation. If you signed up for your membership through a third party, you may need to contact the third party to cancel your membership according to the third party's applicable policies.
      4. General. We reserve the right to request appropriate identification from you in support of membership cancellation prior to processing.
      5. Discretionary Refusal or Cancellation. We reserve the right to accept, refuse or cancel your Noon VIP membership at our sole discretion without notice. You will not receive a refund for termination related to conduct that we determine, in our discretion, violates these Terms or any applicable law, involves fraud or misuse of the Noon VIP membership, or is harmful to our interests or another user.
   4. Other Membership and Benefits Terms
      1. Membership is for the member named list on your My Account page only. All benefits, including accrued Cashback are non-transferable.
      2. Your membership is linked to your Noon account email ID. We may send you emails and other communications related to the Loyalty Program and your membership regardless of any settings or preferences related to your Noon account.
      3. You may not transfer or assign your Noon VIP membership or any Loyalty Program benefits.
      4. From time to time, we may choose at our sole discretion to amend or remove Noon VIP membership benefits, including Cashback percentage and offers. We will not be responsible for any liability arising from such situations, including providing a refund for membership dues.
      5. We may from time to time at our sole discretion amend or impose additional conditions to the Eligibility Criteria.
      6. We reserve the right to make the final decision on whether to allow you to enter into the Loyalty Program.
      7. Some Loyalty Program benefits may require certain purchase thresholds, have quantity or shipping address limitations, or require members to meet specified criteria in order to access them.
3. Noon VIP Benefits

   As a Noon VIP member, you will have access to a variety of benefits, including:

   • Cashback
   • Free Next Day Delivery
   • Free Same Day Delivery
   • Lifestyle Benefits
   • Priority Customer Support
   1. Cashback. Cashback is the value of the Loyalty Program currency which you accrue over time and will be displayed in AED in your “My Account” tab.
      1. Cashback accrued under this Loyalty Program have no cash or monetary value and can only be used for redemption on noon, approved Merchant Partners listed on the noon pay application, or as otherwise permitted by us from time to time in writing (“Redemption Partner”). Redemption Partners will be available on the Website and/or on noon VIP’s Loyalty Program documentation. We shall not be held liable for any failure on the part of a Redemption Partner to accept any redemption request.
      2. Cashback has no value until redeemed and cannot be withdrawn to a bank account or exchanged for cash and is non-transferable.
      3. We reserve the right to amend or terminate the Cashback benefits at any time and at our sole discretion.
      4. In the event of Automatic Termination or upon the expiry of your noon VIP membership, all accrued benefits, including Cashback will be forfeited. We will not be liable to you in any way for Cashback loss due to cancellation through Automatic Termination, expiry or otherwise.
   2. Free Next-Day Delivery. Noon VIP members are eligible for Free Next-Day Delivery on Express items placed on noon.com (excludes Noon Daily). More information on Express items can be found at https://www.noon.com/uae-en/noon-express).
      1. Next-day delivery is subject to availability and shall be shown on the checkout page details.
      2. Delivery time starts when the item has shipped. If the item you're ordering is out of stock or unable to ship immediately, end-to-end delivery time may be extended.
      3. During high demand periods, next day delivery may not be available and the product page will be updated to reflect the delivery period.
      4. The next day delivery offer does not apply on orders made on Thursdays.
   3. Free same-day delivery. noon VIP members are eligible for free same-day delivery on selected express items placed on noon.com. Same-day delivery is subject to availability and shall be shown on the checkout page details.
      1. It is valid for eligible noon express orders over 100 AED. For orders under 100 AED, VIP members have the option to pay a special delivery fee.
      2. Free same-day delivery is only available in Dubai.
      3. During a period of high demand, same-day delivery may not be available and the product page will be updated to reflect the delivery period.
      4. Same-day delivery offer does not apply to orders made on Fridays.
   4. Lifestyle Benefits. Noon VIP members are eligible for Buy 1 Get 1 Free offers and percentage based discounts on total bill or partial categories on bill across the network of loyalty partners (together “Merchants”). Some Merchants have specific terms and conditions, please refer to the redemption T&Cs for each offer on noon or noon pay applications for further details.
      1. The following terms and conditions apply for Buy 1 Get 1 Free offers:
         • To avail the offer, the second most expensive item/service will be complimentary.
         • On Food offers, in case of multiple dishes ordered by the Customer, the second most expensive (or equal to the most expensive) food dish will be given complimentary. The Offer is applicable on all items on the menu except special menus, set menus, buffets, platters, combos, thalis, mixed grills and as per catch/ as per size/market price, unless these are specifically included. To avail the Food offer, a minimum of two (2) persons must be dining at the table.
         • On Beverage offers, the offer (1+1) up to two rounds is valid on only beverages of standard measures (30 ml in spirits). Industry accepted definition of standard measures apply, for example glass and pint. Pitchers or full bottles are not covered under the offer. You confirm that you are abiding by local laws when availing this offer.
         • On Brunch offers, the offer is on an all-inclusive Brunch package offered. The second most expensive (or equal to the most expensive) package will be given complimentary.
         • On Stay offers, the offer is on a hotel stay. The second most expensive (or equal to the most expensive) package will be given complimentary. To avail the Stay offer, a minimum of two (2) nights must be booked.
         • On Experience offers, the offer is on an experience package offered. The second most expensive (or equal to the most expensive) package will be given complimentary.
      2. In terms of percentage based discounts, the Merchant’s specific terms and conditions apply (for example, minimum persons on a table to redeem the offer). Please refer to the redemption page T&Cs on noon or noon pay applications when redeeming an offer.
      3. Lifestyle Benefits cannot be combined with other offers (e.g. credit card discounts, happy hours, etc.).
      4. Lifestyle Benefits is only valid on the following:
         • dine-in or onsite visits.
         • all days and at all times the Merchant’s Partner Establishment is open for operation and except for the exclusion dates, as detailed below:

      5. Merchant must enter its store pin to unlock the offer/redeem the offer. We will not be responsible for the closing down or refusal of any Merchant to accept the offers; however, we will use reasonable efforts to rectify the situation, to the extent possible.
      6. If you have complaints regarding the quality of service provided by a Merchant, we will not be responsible for resolution of such complaints. They should be resolved directly with the Merchant.
      7. You can contact noon customer care if you are having any redemption issues at partner venues.
   5. Priority Customer Support. Noon VIP members are eligible for priority customer service via a dedicated callback system. Refer to your My Account page for more details.
4. Other Provisions
   1. Amendments. We reserve the right to make changes to these Terms, Noon’s Term of Use and Terms of Sale, or any aspect of the Loyalty Program membership at any time. You will be subject to the Terms, Noon’s Term of Use, Terms of Sale, and Privacy Policy in force at the time that you use the Noon VIP membership. If any of these Terms or any change of these Terms is found invalid, void, or for any reason unenforceable, it will be deemed severable and will not affect the validity and enforceability of any remaining changes or conditions. Your continued membership after we change these terms constitutes your acceptance of the changes. If you do not agree to any changes, you must contact our customer support and request to cancel your membership.
   2. Limitation of Liability. In addition to other limitations and exclusions in the Terms, our total liability, whether in contract, warranty, tort (including negligence) or otherwise, will not not exceed AED 120. This limitation of liability applies to both Earning In and Buying In members and will apply to the fullest extent permitted by law and will survive cancellation or termination of your Noon VIP membership.
   3. Applicable Law. These Terms are governed by and construed in accordance with the laws of the Dubai International Finance Center (“DIFC”). If any dispute, claim, difference or controversy arising out of, relating to or having any connection with these Terms, including as it may relate in any way to your Noon VIP membership, or to any products or services sold or distributed by noon or through noon.com, or the existence, validity, interpretation, performance, breach or termination and/or any dispute relating to any non-contractual obligations arising out of or in connection with them (for the purpose of this section, a “Dispute”) qualifies for determination through the DIFC Small Claims Tribunal (“SCT”), then the SCT shall have exclusive jurisdiction to settle any such Dispute. For Disputes that do not qualify for determination through the SCT, the courts of the DIFC shall have exclusive jurisdiction to settle such disputes and each party submits to the exclusive jurisdiction of the courts of the DIFC. For the purposes of this section, you waive any objection to either the courts of the DIFC or the SCT, as applicable, on the grounds that either of them is an inconvenient or inappropriate forum to settle any Dispute.
   4. Waiver. If you breach these Terms and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these Terms. Our failure to insist upon or enforce your strict compliance with these Terms will not constitute a waiver of any of our rights.
